Most founders from outside the EU face one issue when launching a startup in Poland: to obtain a work visa, a registered company is required. To register a Sp. z o.o., you need capital (at least 5000 PLN), an address, time, and an understanding of the system. And to do all this legally — you need a visa. A vicious circle.
Business incubators break this circle. They allow you to start working in Poland legally, without opening your own company at the beginning. Let's break down how this works in practice, when an incubator is the solution, and when it’s a trap.
What does a business incubator provide to a startup founder?
An incubator is not just a coworking space with coffee. It is a legal structure that allows a foreign founder to do business in Poland under the name of a Polish organization. You work as a contractor or participant in the incubator program, get documents for a visa, and pay taxes through its structure.
Specifically, an incubator provides:
- A legal address for immigration documents
- An invitation for work or cooperation contract for the visa
- Tax infrastructure — you work through the incubator, and it reports to the tax office
- Consultations for commercial registration when you are ready
- Access to a network of other startups and mentors
Key advantage: You can come to Poland legally, test the European market, find your first customers, and only then decide whether to register a Sp. z o.o.

It makes sense to register a company immediately if you have a finished product with proven demand, capital of at least 10,000 EUR, and an understanding of the Polish market. Relocating an IT business through immediate registration requires time for bureaucracy — 2-3 months just for registration and obtaining a visa.
An incubator is the solution for a different scenario. You are at the MVP stage, you are not sure about the product, you have few customers, and your budget is limited. Registering a Sp. z o.o. means fixed costs: an accountant (300-500 PLN/month), a legal address (100-300 PLN/month), social security contributions (at least 400 PLN/month even with zero income). If the startup doesn’t take off after six months, you will lose at least 5000-7000 PLN on maintaining a dead structure.
An incubator removes these risks. You pay a fixed fee (usually 200-800 EUR/month depending on the program) and get everything necessary for legal work. If after 6 months it becomes clear that the project didn’t succeed — you simply stop participating. No debts to the tax office, no company liquidation.

How to organize a relocation to Poland: visas and residence permits
Participation in an accredited business incubator is a basis for obtaining a type D work visa. Here's how to organize a relocation to Poland via an incubator:
- You apply to the incubator and go through the selection process.
- The incubator issues a contract and invitation for the visa.
- You submit documents for a visa at the consulate (processing time 1-2 months).
- After entering Poland, you apply for a temporary residence card (up to 4 months).
Critical point: Not all incubators have the right to issue invitations for work visas. Check their accreditation in the Polish Agency for Enterprise Development (PARP) registry. Only programs approved by PARP or those with the status of a technology park can legally support immigration applications.

The first residence card usually lasts 1 year, with the possibility of extension. After 5 years of continuous legal residence, you can apply for permanent residency.
Tax planning in an incubator: how it really works
While you work through the incubator, you don’t pay taxes as a company owner. The scheme depends on the cooperation format and requires careful tax planning.
Option 1: Contract between businesses (self-employment)
You register as a sole trader (działalność gospodarcza) but work within the incubator. Taxes according to the Polish Ministry of Finance (gov.pl):
- Flat tax of 19% on income
- Social security contributions: about 1600 PLN/month (mandatory contributions)
- VAT at 23% (can be exempted if turnover is under 200,000 PLN/year)
Option 2: Civil law contract
You work as an individual. The incubator pays you a fee and withholds taxes:
- Tax of 12% (up to 120,000 PLN/year) or 32% (above)
- Social security contributions: about 400-600 PLN/month
- No VAT
The second option is easier to start with, but it offers less flexibility. The first option allows you to work directly with clients and issue invoices.
Important detail: The intellectual property tax benefit (5% tax on income from copyrights and patents) is only available to owners of Sp. z o.o. or sole traders with qualified intellectual property. This benefit is not available through an incubator.
What if an incubator is not the solution to all problems?
An incubator solves the task of legal startup entry, but it creates three limitations for tech businesses that you need to know in advance.
- You don’t own the structure. All contracts with clients are formally concluded by the incubator, not by you. If a conflict arises or the incubator decides to change the terms — you are in a vulnerable position. There have been cases where incubators raised the commission from 5% to 15% after the first year of a startup's operation, citing "market conditions."
- Investors don’t invest in participants of programs. They invest in companies with a clear corporate structure. If you plan to raise venture capital, you’ll still need to register a Sp. z o.o. The incubator can provide a bridge to investment but won't replace it.
- Scaling hits a ceiling. When your turnover exceeds 100,000 PLN/month, working through an incubator becomes more expensive than maintaining your own company. You pay a commission to the incubator (usually 5-10% of turnover) plus taxes. With your own Sp. z o.o., you only pay corporate profit tax (9-19%) and gain access to benefits.
How to move your business to Poland: the evolution of the model over 10 years
In 2014-2016, Polish incubators mostly operated as physical coworking spaces for local enthusiasts. Corporate relocation through incubators was rare — migration legislation did not provide clear mechanisms for startup founders from third countries.
A turning point came in 2018, when Poland launched a national program to attract startups. At the same time, the first accelerators with an international focus appeared (Startup Poland, Google for Startups Residency in Warsaw). They began lobbying for simplifying visa procedures for founders.

They tried to implement an analogue of Estonia's e-residency — digital entrepreneurship without physical presence. It didn’t take off. The Polish tax office requires real presence: office, employees, and a bank account in the country. Virtual constructs didn’t work.
Now, the system has stabilized. Incubators have gained the status of legal intermediaries between foreign founders and Polish bureaucracy. This is not a workaround, but an official mechanism recognized by PARP and the Office for Foreigners.
A company from Kyiv was developing an online education platform. The founders wanted to enter the European market but didn’t understand how to move the startup to Poland. Registering a company seemed too complicated and expensive for an MVP version of the product.
They joined a Warsaw technology incubator in March 2024. Through the incubator, they obtained work visas in 6 weeks, began selling courses to European schools, and saw their first revenue in 2 months — 15,000 PLN. By the end of the year, their turnover had grown to 80,000 PLN/month.
In January 2025, they registered a Sp. z o.o., exited the incubator, and attracted their first round of funding — 200,000 EUR from a Polish venture fund. The time and capital saved at the start allowed them to focus on the product instead of bureaucracy.
Three mistakes when moving your business
Choosing based on the “cheapest” principle
Many choose an incubator based on price or a nice website when planning a business relocation.
The logic is clear: you want to save money at the start. But a cheap incubator without PARP accreditation will not provide documents for a visa.
You’ll pay, spend a month negotiating, and then get a refusal at the consulate.
Delaying Sp. z o.o. registration
Founders get used to the simplicity of the incubator and delay commercial registration of the company, even with stable income.
It’s comfortable not to think about accounting and social security contributions.
The real cost: When your turnover reaches 100,000 PLN/month, and you're still working as an individual, you end up overpaying 10-15% in taxes. The intellectual property benefit and optimization through corporate profit tax are unavailable. Over the course of a year, this leads to at least 50,000-70,000 PLN in additional expenses.
Ignoring social security contributions during planning
Social security contributions are not a tax, but they feel heavier than taxes.
Even with zero income, you’ll have to pay about 1600 PLN/month as a sole trader.
Many only find out about this after registering as an entrepreneur and are shocked.

- You are testing the product on the Polish market
- Your budget is limited (less than 10,000 EUR to start)
- You need a visa but don’t have time for company registration
Registering a Sp. z o.o. is your option if:
- Stable income of 50,000 PLN/month or more
- Planning to attract investments within 6 months
- Working with corporate clients requiring contracts with legal entities
- Developing a product with registerable intellectual property (for the 5% benefit)
Poland is building an ecosystem for startups, where an incubator is not a replacement for a company but a bridge to it. Use this bridge for digitalizing your business to reduce risks at the start. But don’t stay on it once your startup in Poland is ready to go further.
